Personal Data Backup User Agreement

Simply enter your username and password to access your personal online hard drive. Any computer equipped with an internet connection can give you access to your data backup files by logging in. The easy to use web interface is simple for even the most novice computer users.

Terms

a. You, as the consumer, are referred to herein as "you," "user," "subscriber," "client," "consumer," or "customer."
b. Personal Data Backup is referred to herein as "Personal Data Backup," "PDB," "pdb," "we," "us," or "our."
c. Data stored by users is herein referred to as the user's "files," "directory," "folder," and "data."

Services:

Personal Data Backup strives to provide reliable, accessible, simple, and easy to use online data storage. We want you to have the best possible experience while using PDB as that is our business. Our services are as follows:

- PDB personal online storage plans. These plans range from 2 to 50GB of online storage space. Each gigabyte is equal to 1024 megabytes. This plan includes the ability to upload and download files from your internet storage space.

- PDB Internet Workgroups. These plans share between 10 and 100GB of online space between as few as 5 and as many as 100 user accounts. This type of plan includes the ability to upload and download files from your internet storage space. It will also grant each user their own private file and a group file that is shared between all of the users in that workgroup.

Personal Online Storage Policies:

The services above will be offered to customers. We require that as a customer, you comply with the PDB policies of customer requirements. You will be violating these requirements if, during any amount of time while a PDB customer, you use more than the average customer’s server resources. These resources can be defined as bandwidth used from transferring a file or folder located in your online storage. We will make an attempt to contact you and reach a monetary agreement that will allow you to keep using the service, but we also reserve the right to cancel, terminate, or suspend your account without any prior notice in the event of a violation of these requirements.

Internet Workgroup Usage Policies:

The services above will be offered to workgroup service subscribers. We require that as a renter of a workgroup service, you comply with the PDB policies of customer requirements. You will be violating these requirements if, during any amount of time while a PDB client, you use more than the average customer's server resources. These resources can be defined as bandwidth used from transferring a file or folder located in your online storage. We will make an attempt to contact you and reach a monetary agreement that will allow you to keep using the service, but we also reserve the right to cancel, terminate, or suspend your account without any prior notice in the event of a violation of these requirements.

Signup for the PDB Services:

To begin using the services offered by PDB you must:

• Complete the registration form on the website. All information must be fully completed and up to date. If any of the information is not entered, you will not be registered. PDB reserves the right to reject any applicants upon their discretion.

• This information must be kept up to date while a PDB customer. If PDB finds out, detects, or has reason to believe that any of your information required for registration is false or out of date, we reserve the right to terminate, cancel or suspend your account without any prior notice.

• Be over the age of 18.

• Acceptance of this agreement and completion of registration implies that you agree with these terms. After completion of the required assets, you will have opened an account with PDB and will be a PDB customer. If signup is incomplete but was started, you agree to let PDB contact you through email to help you through the process.

PDB Account Usage:

• You are allowed to store, upload, download and manipulate data that you have stored on your PDB online storage account.

• You are given one personal account when you sign up for the Personal Online Storage solution. This account and membership is non-transferable. It can be only used for your own purposes.
• All rights not granted by PDB in this user agreement and other places within the website are retained.

• In some states and provinces, the exclusion of implied warranties is not allowed or legal. Some of the things in this user agreement may not apply to you relative to your location.

Resale of Services:

• You are not permitted to resale the services purchased from PDB by you without the consent of PDB. This must be a written agreement reached on the part of both parties.

• All third party sites listed on the PDB website are operated on their own accord. We offer no guarantee and do not endorse any of these companies. PDB is not liable for any agreement, warranty, products, services or representations made by these third-party companies.

Account Privacy:

• Your account as a PDB customer may only be accessed by your, the customer. To access PDB you need to have registered properly and keep this information up to date. More than one user making use of one user account violates this policy in that information is not up to date and accurate for all users. If PDB suspects that this information is not accurate or up to date, PDB has the right to cancel, terminate, or suspend your user account.

• PDB holds you, as the customer, responsible for any and all actions performed within your user account. You are expected to exit and log-off of your account at the end of each usage. Any unauthorized access to your account must be reported immediately. PDB and all of its assets are not responsible for unauthorized access to your account.

• As a properly and respectfully operated online business, PDB does not claim ownership to any personal information that the users have submitted. We will not share any of the data, personal information, or account information with third party customers. We will not monitor the data stored unless in accordance with this user agreement. PDB reserves the right to access your account, data included, to respond to technical queries or as stated in this user agreement.

• PDB shall not be held responsible for legality, reliability or any other quantities, qualities, or degree of technicality of the user information. You, as the customer, are held fully responsible for your own information. This means PDB shall not be responsible for the loss, failure, abridgement, deletion or destruction of any data on the PDB systems. You as the customer are liable for these aspects.

Abandoned Accounts:

• If a user fails to access their account for a period of sixty (60) days, PDB reserves the right to remove that users data. PDB will make at least two attempts at their own discretion to contact the user of the pending deletion. By asserting your agreement with this user contract, you have established that an email is an adequate, sufficient and complete way by which notice of impending deletion can be delivered so that the information will be promptly read and understood. If the user does not respond, PDB reserves the right to delete the account.

Payment Information:

• The services offered by Personal Data Backup are described on the PDB website. They can be paid in several different methods including but not limited to: monthly, yearly, quarterly, bi-yearly, etc. PDB reserves the right to change the charges applied to any account upon a period of thirty (30) days of notice sent by email.

• If payment is not received by the required date, your account is open to be considered abandoned. This will result in the deletion of your files after proper notice.

• If you believe you have been billed incorrectly by PDB, you must contact PDB no more than 30 days after the payment was made in which the error occurred. This may result in a deduction or credit for service.

• Accounts that have been upgraded during a payment period that has already been paid will be immediately charged the difference in the two accounts for the days remaining in the payment period. If you chose to cancel the upgraded service after it has been implemented and the charge has been received, you will not be reimbursed for the amount paid.

User Conduct:

• All local, state, national and foreign laws are agreed to be followed in connection with the services offered by PDB. In addition to this you agree to not use the service to send out unsolicited or unauthorized advertising, unsolicited emails or any other form of multiple unauthorized and unsolicited communications. You man not transmit any information or material for the express intent of hurting, harming or generally disturbing other users, the service itself or other internet locations external of PDB. This type of material includes: viruses, Trojan horses, browser hijack tools, unsolicited emails including hateful messages or text, etc.

• While PDB has no obligation to monitor the consumers using its service for conduct related offences, it reserves the right to at any time monitor, review and take action against any devices, actions or threats that PDB deems dangers. PDB also reserves the right to disclose any information requested to the law, government or general enforcement agencies looking for information on specific events.

Account Termination:

• PDB reserves the right to at its discretion terminate your password, account and use of the services you have purchased as a result of non-compliance with this User Agreement. You may terminate your account at any time, but you will not receive any compensation, refund, or repayment of any fees you have paid to PDB. You may also at the time of termination request a copy of your files from PDB, which will be open to users for a fee. At the time of termination, the ability to access and manipulate your account and the services rendered by PDB will be revoked and immediately withdrawn. PDB owes no obligation to terminated accounts. No information will be stored in your account or sent to a third party.

Rights of Personal Data Backup:

• Except for the rights granted in this agreement, you have no ownership of property controlled or managed by PDB. You hereby agree that all rights, titles and interests are property of PDB and are not transferred to you as a result of purchasing a service from PDB. This includes trademarks, copyrights, multimedia, website design, etc.

• You agree that in no way, shape or form that copyrighted materials will be uploaded, stored or shared within the systems of PDB. This is to include such items as copyrighted music files, copyrighted movie files, etc, that have been illegally obtained. PDB does not allow sharing of files that are not expressly owned by the users of PDB's services.

• Personal Data Backup shall not be held responsible for any claims, losses, liabilities and expenses stemming from a breach of this contract. This includes attorneys' fees and costs, damages, etc.

• PDB makes no representation of a warranty or guaranty of the reliability, promptness, quantity, quality, availability, accuracy or completeness of the service or any content. This includes that: The use of the service is not guarantied to be without interruptions. The quality of the service is not governed to any certain standard. The service is not required to be free of viruses or other harmful devices.

• Any infringement of the rights of PDB by a customer will be prosecuted to the maximum extent of the

Limitation of Liability:

• NO EVEN SHALL THE LIABILITY OF PDB EXCEED THE AMOUNT ACTUALLY PAID BY YOU IN THE THREE (3) MONTH PERIOD PRIOR TO THE EVEN COMPENSATION IS BEING SOUGHT FOR. IN NO WAY WILL PDB BE HELD LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, EXEMPLARY ARISING FROM OR IN ANY WAY CONNECTED WITH THE SERVICES OFFERED.

General Information:

• Personal Data Backup reserves the right to change the terms in this User Agreement. It may change policies, services, plans or pricing at any time by notifying you, the customer, through email and by posting the new copy of the agreement on the PDB website. By continuing to use the service after the change has been enacted, you have agreed to the new User Agreement and all changes.

• The choice of PDB to enforce or to not enforce certain parts of this User Agreement does not void the agreement. PDB has the right to act as it needs to maintain order within the service that it offers to users. The failure to enforce a certain part gives no concession for further transgressions against the User Agreement.

• This User Agreement supersedes any and all conversation made between PDB and its respective users. This agreement is determined to be the final point of contention in any and all issues regarding user interaction and manipulation within the PDB service.
